Master Terms of Service

2. Services & Engineering Scope

Innoit Labs delivers professional technology solutions across the following primary domains:

• Mobile Application Development: Native iOS (Swift), native Android (Kotlin), and cross-platform apps (React Native, Flutter).
• Web & SaaS Development: Next.js, React, Node.js, Python, full-stack microservices, and enterprise API architectures.
• AI & Automation Solutions: Autonomous agents, RAG workflows, LLM fine-tuning, and predictive business automations.
• UI/UX Design & Prototyping: User research, Figma wireframing, design systems, and usability audits.
• Custom Software Engineering: ERP, CRM, inventory, and bespoke digital transformation systems.
• Cloud & DevOps: AWS, Google Cloud, Docker, Kubernetes, CI/CD pipelines, and SLA infrastructure monitoring.

3. Statements of Work (SOW) & Engagement Models

Specific deliverables, milestones, timelines, and budgets are documented in mutually agreed Statements of Work (SOWs) or Agile Sprint Orders. We support three primary engagement models:

4. Intellectual Property & Code Ownership

Innoit Labs retains rights only to pre-existing general frameworks, boilerplate utilities, and open-source libraries that are publicly available or licensed under standard MIT/Apache permissive licenses.

5. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, customer records, technical specifications, financial estimates, and software designs as strictly Confidential Information. Neither party will disclose Confidential Information to third parties without prior written consent, except to employees, contractors, and legal advisors who need to know and are bound by equal confidentiality obligations.

6. Client Responsibilities

Timely project completion relies on collaborative partnership. The Client agrees to:

• Designate a primary product owner with authority to approve requirements and sprint deliverables.
• Provide necessary third-party API credentials, test datasets, and sandbox accesses promptly.
• Review sprint staging builds and provide constructive feedback within 5 business days of delivery.

7. Invoicing, Payments & Taxes

Invoices are issued in accordance with the payment milestones detailed in the SOW. Invoices are payable within 14 days of issuance via direct wire transfer (NEFT/RTGS/SWIFT) or authorized commercial payment gateways.

Applicable statutory taxes (including Goods and Services Tax — GST in India) are added to invoices as required by current tax regulations.

8. 30-Day Warranty & SLA Support

Every custom development engagement includes a complimentary 30-day post-launch warranty starting from production release. During this period, Innoit Labs resolves any demonstrable defects, software bugs, or deviations from the signed SOW specifications at zero additional cost.

Ongoing feature additions, major framework upgrades, third-party API deprecations, or infrastructure scaling beyond the initial scope are supported via our monthly SLA retainer packages.

9. Limitation of Liability

To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill). Innoit Labs' total cumulative liability arising from any claim under this Agreement will not exceed the total fees paid by the Client to Innoit Labs for the specific SOW or deliverable giving rise to the claim in the 6 months preceding the incident.

10. Termination & Severability

Either party may terminate an engagement upon 30 days written notice for convenience, or immediately if the other party commits a material breach and fails to cure such breach within 15 days of written notice. Upon termination, Client pays for all approved work completed up to the termination date, and Innoit Labs delivers all work-in-progress codebases.

11. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of them will be governed by and construed in accordance with the laws of India. Any legal proceedings arising out of or related to these Terms will be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India.
